Continued use of any Jobsolv services after June 21, 2025 constitutes affirmative consent to these updated Terms, including the arbitration and waiver provisions herein.

1. Acceptance and Binding Agreement
By accessing, browsing, or using any products, services, or features provided by Jobsolv LLC ("Jobsolv", "we", "our", or "us"), including but not limited to ALL websites, domains, subdomains, and affiliated sites operated by Jobsolv (including but not limited to www.jobsolv.com, *.jobsolv.com, and any future domains or subdomains), SaaS platform, AI-powered tools (Auto Apply, Resume Tailoring, AI Job Matching), professional services (Six Figure Resume, Jobsolv Signature Service, job application services, career coaching, consulting), mobile applications, software, APIs, browser extensions, third-party integrations, affiliate programs, and ANY other tools, products, or services offered by Jobsolv or its affiliates (collectively, the "Services"), you ("User," "you," or "your") expressly agree to be legally bound by these Terms of Service ("Terms").

LEGAL NOTICE: These Terms constitute a binding legal agreement. By using our Services, you waive certain legal rights and agree to resolve disputes through arbitration. If you do not agree to these Terms, you must immediately cease using all Services.
Jobsolv may modify these Terms at any time at its sole discretion. All changes are effective immediately upon posting unless otherwise specified. Your continued use of the Services constitutes acceptance of the revised Terms. It is your responsibility to review the Terms periodically for updates.

Future Services: These Terms apply to any future features, products, or services that Jobsolv may introduce, unless explicitly stated otherwise in a separate written agreement.

Continuing Consent: Your continued access to or use of the Services constitutes ongoing affirmative consent to these Terms and all future modifications.

2. Service Categories and Eligibility

2.1 Service Types
SaaS Platform Services: AI-powered job search tools, automated applications, resume optimization, job matching algorithms, dashboard access, analytics, data management, machine learning systems, and predictive analytics.
Professional Services: Custom resume writing, career coaching, personalized job search strategies, consultation services, custom deliverables, direct job application services on behalf of clients, interview preparation, salary negotiation support, career transition planning, and executive placement services.
Website Services: Job board access, content, resources, community features, support materials, affiliate marketing, advertising services, user-generated content platforms, and educational resources.
Technology Services: APIs, integrations, white-label solutions, enterprise services, data analytics, custom development, software licensing, and technical consulting.
Affiliate and Partnership Services: Revenue sharing programs, referral systems, co-branded offerings, third-party integrations, marketing partnerships, and business development services.
2.2 Enhanced Eligibility Requirements
Minimum Age: 18 years or legal age of majority in your jurisdiction
Legal Capacity: Must have legal authority to enter binding agreements and represent compliance with all applicable laws
Account Security: Responsible for maintaining secure, unique passwords and protecting account access. You acknowledge that sharing credentials constitutes a material breach.
Accurate Information: Must provide truthful, complete, and current information. False information may result in immediate termination and legal action.
Corporate Authority: Corporate users must warrant authority to bind their organization and assume full liability for all employee/agent use.
Identity Verification: Jobsolv reserves the right to require identity verification at any time.
Account Liability: You are solely responsible for all activities under your account, including unauthorized access due to security negligence. Jobsolv bears no liability for account breaches resulting from user negligence, credential sharing, or third-party access.
2.3 Restricted and Prohibited Users
The following users are STRICTLY PROHIBITED from using our Services and will result in immediate termination and potential legal action:
Geographic and Sanctions Restrictions:
Users from countries, territories, or jurisdictions subject to U.S. economic sanctions (including but not limited to OFAC sanctions lists)
Users from countries where U.S. citizens or companies are prohibited from conducting business
Users from jurisdictions where our Services are legally prohibited or restricted
Individuals on any government watch list or restricted party list
Technical and Security Threats:
Competitors seeking to reverse engineer, copy, or steal our proprietary technology, algorithms, or business processes
Users deploying bots, scrapers, crawlers, or any automated systems without explicit written authorization
Individuals or entities attempting to hack, breach, compromise, or interfere with our systems, security, or operations
Users employing malicious software, viruses, malware, or any harmful code
Entities engaged in denial-of-service attacks, data mining, or unauthorized system access attempts

Legal and Compliance Violations:
Individuals who have previously violated these Terms or been terminated from our Services
Users who cannot legally work in the United States (for job application services)
Individuals providing false identity or fraudulent information
Users subject to non-compete agreements that would restrict use of our Services
Individuals under investigation for employment fraud or related offenses
Commercial Restrictions:
Direct competitors in the job search, resume writing, or career services industries
Entities seeking to resell, redistribute, or commercially exploit our Services without authorization
Users attempting to create competing products or services using our technology or data
Academic or research institutions studying our algorithms without permission
Market research firms or consultants gathering competitive intelligence
Behavioral Violations:
Users engaging in harassment, discrimination, or abusive behavior toward other users or our staff
Individuals attempting to manipulate our systems, reviews, or user feedback
Users violating intellectual property rights or engaging in content theft
Entities spreading misinformation, spam, or inappropriate content through our platform
Users attempting to circumvent payment obligations or engage in chargeback fraud
Immediate Detection and Enforcement: Jobsolv employs advanced detection systems, including AI-powered monitoring, behavioral analysis, and third-party verification services to identify and block prohibited users. Violations result in immediate account termination, IP blocking, device fingerprinting, and potential legal action.
2.4 Unregistered Visitor Notice
Visitors who do not create accounts are granted a limited, revocable license to browse publicly available pages on a view-only basis. By accessing the Services without registering, you agree not to assert any claims against Jobsolv arising from or related to such access, and you acknowledge that you do so at your own risk, without warranty, support, or legal remedy.

Probabilistic and Experimental Nature: Jobsolv incorporates artificial intelligence (AI), large language models (LLMs), machine learning systems, and automated decision-making throughout its Services, including but not limited to resume generation, job matching, automated job applications, career content recommendations, salary prediction, and employer communication. These systems operate on probabilistic algorithms, pattern-based inference, and predictive modeling, which means they may occasionally produce outputs that are:

Incomplete or irrelevant to your intended purpose
Inappropriately formatted or worded
Misaligned with employer requirements, industry standards, or job expectations
Unexpected, inconsistent, or subject to change without warning
Biased or discriminatory despite our best efforts to prevent such outcomes
Legally or ethically problematic in certain contexts
No Guarantees or Warranties: Jobsolv makes NO guarantees, representations, or warranties regarding the accuracy, legality, suitability, effectiveness, or appropriateness of any AI-generated outputs, including but not limited to:
Resume content, cover letters, or LinkedIn summaries
Auto-apply messages or job targeting logic
AI-generated job matches, scores, or recommendations
Communication recommendations to employers
Salary negotiations or career advice
Interview preparation materials
Market analysis or career trend predictions
3.2 Comprehensive AI Liability Disclaimer
You acknowledge and accept FULL responsibility for reviewing, editing, validating, and making final decisions regarding any content generated by AI tools prior to submission or use. Jobsolv expressly disclaims ALL liability for any actions taken or not taken in reliance on AI-generated content, including but not limited to:
Missed job opportunities or career setbacks
Employer rejections, negative responses, or blacklisting
Damaged professional reputation or career prospects
Legal, ethical, or regulatory consequences from improper or inaccurate submissions
Loss of time, income, career advancement, or employment
Discrimination claims or bias allegations
Professional licensing or certification issues
Employment law violations or compliance failures
Complete Risk Assumption: By using our Services, you agree that ALL AI-generated outputs are used entirely at your own risk, and you assume full responsibility for any consequences arising from their use.
3.3 AI Content Ownership and Strict Use Restrictions
Jobsolv Exclusive Ownership: Unless otherwise stated in a specific written agreement, ALL AI-generated content, including underlying algorithms, training methodologies, and output formats, remains the sole and exclusive intellectual property of Jobsolv. This includes:
All text, formatting, and structural elements
Underlying logic and decision trees
Training data and model improvements
Derivative works and variations
Limited User License: You are granted only a limited, non-exclusive, non-transferable, revocable license to use AI-generated content solely for your personal job search and career development activities. You may NOT:
Reproduce, redistribute, sell, license, or publish AI-generated content
Use AI-generated content for commercial or third-party purposes
Reverse engineer or attempt to recreate our AI systems
Train competing AI models using our outputs
Share AI-generated content with unauthorized parties
Termination of License: This license terminates immediately upon violation of these Terms or termination of your account.
3.4 AI Regulation Compliance and Future-Proofing
Evolving Legal Landscape: You acknowledge that artificial intelligence technologies are subject to rapidly evolving legal, ethical, and regulatory frameworks, including but not limited to:

Industry standards and best practices (not absolute guarantees)

Compliance with applicable employment, labor, and professional services laws
No Professional Advice: Nothing provided by Jobsolv—whether AI-generated, human-created, or hybrid—constitutes legal, financial, career counseling, or professional advice requiring licensure. You retain sole responsibility for:
Final approval and submission of all job materials
Accuracy and truthfulness of claims about your background and experience
Compliance with employer requirements, employment laws, and ethical standards
Professional development and career decisions

Algorithmic decisions, automation, or personalization features
Data privacy, copyright, or intellectual property questions related to AI outputs
Compliance with future AI transparency, explainability, or fairness requirements
This hold harmless provision includes but is not limited to future litigation, class actions, regulatory enforcement, or government investigations based on AI law, algorithmic accountability statutes, or international AI governance frameworks.
3.9 AI Transparency and Model Disclosure
Third-Party AI Models: Jobsolv utilizes various third-party large language models (LLMs) and AI systems, including but not limited to models developed by OpenAI, Anthropic, Google, and other providers. AI outputs may be based on datasets not curated, controlled, or verified by Jobsolv. No representations are made regarding:

Bias, fairness, or discrimination in AI recommendations

We do not provide technical documentation, explainability reports, or algorithmic disclosures unless specifically required by applicable law or regulation. Users accept that these systems are experimental, probabilistic, and not subject to external audit.

4. Enhanced User Conduct and Absolute Prohibitions
4.1 Zero Tolerance Prohibition Policy
Users are ABSOLUTELY AND PERMANENTLY PROHIBITED from engaging in any of the following activities, with violations resulting in immediate termination, legal action, lifetime bans, and potential criminal prosecution:

Malicious Code: Introducing viruses, malware, trojans, ransomware, spyware, or any harmful code into our systems

Users accessing or attempting to access our Services via automated means (including bots, scrapers, or systems that fail CAPTCHA, honeypots, or JavaScript execution challenges) agree that such access constitutes unauthorized use. Unauthorized automated access causes disruption, server strain, and loss of platform integrity. You agree to pay liquidated damages of $2,500 per incident, representing a reasonable pre-estimate of harm—not a penalty.
4.2 Advanced Detection and Monitoring Systems

No Warning or Cure Period: Jobsolv has NO OBLIGATION to provide warnings, notices, or opportunities to cure violations before taking immediate and comprehensive enforcement action.
5. Enhanced Data Rights and Privacy Framework

Our Privacy Policy is fully incorporated into these Terms by reference and constitutes an integral part of this binding agreement. By agreeing to these Terms, you also agree to our Privacy Policy and ALL data collection, processing, sharing, and retention practices described therein, including future modifications to such practices.

Comprehensive Consent: By using our Services, you provide explicit, informed, and irrevocable consent to:

Jobsolv strictly prohibits and will aggressively prosecute any use of scrapers, bots, crawlers, data miners, or other automated tools to access, copy, extract, index, or analyze any part of our Services, user data, or proprietary information without express written permission from Jobsolv's legal team.
Prohibited Activities Include:
Scraping for AI model training or competitive intelligence
Aggregating job data for competing platforms
Reverse engineering our algorithms or business logic
Systematic data collection for research without authorization
Creating derivative databases or datasets
Monitoring for business intelligence or market research
Enforcement Measures:
Permanent account and IP bans across all networks
Legal action under Computer Fraud and Abuse Act (CFAA)

Jobsolv may engage various subprocessors (hosting providers, analytics services, communication vendors, AI/ML providers, professional service contractors) to provide Services. 5.7 International Data Transfer and Jurisdiction Consent
You explicitly consent to international data transfers to any jurisdiction where Jobsolv operates, stores data, or engages service providers, regardless of the data protection laws in such jurisdictions. This includes transfers to countries that may not provide equivalent data protection to your home jurisdiction.
6. Comprehensive Intellectual Property Rights

All software, algorithms, source code, and proprietary technology
AI models, training methodologies, datasets, and computational outputs
Website content, design elements, user interfaces, and branding
Trademarks, service marks, logos, and trade names
Trade secrets, confidential information, and know-how
All improvements, modifications, derivative works, and enhancements
Business processes, methodologies, and operational procedures
Customer lists, market intelligence, and business relationships

Immediate Termination: API violations result in immediate termination of API access and potential legal liability.
19. White Label and Reseller Provisions

Assume FULL legal responsibility for all customer interactions

No Jobsolv Liability: Jobsolv bears NO liability for claims arising from partner services unless explicitly agreed in separate written agreements.
