1. Acceptance of Terms
By accessing or using any products, services, or features provided by Jobsolv, including but not limited to digital platforms, AI-powered tools (such as Auto Apply, Resume Tailoring, AI Job Matching), job boards, applicant tracking systems (ATS), social media features, third-party integrations, physical and digital products, mobile applications, software, and any other tools, or services (collectively referred to as the "Services"), you ("User," "you," or "your") expressly agree to be bound by these Terms and Conditions ("Terms").
Jobsolv reserves the right to modify, update, or expand these Terms and any aspect of the Services at its sole discretion, at any time and without prior notice. Such modifications will be effective immediately upon posting to the website. Users are responsible for regularly reviewing the Terms and ensuring compliance with any updates. Continued use of the Services after any changes constitutes acceptance of the updated Terms. The most current version of the Terms will always supersede prior versions. If you do not agree with the revised Terms, you must discontinue use of the Services immediately.
These Terms apply to any future features, products, or services that may be introduced by Jobsolv, unless explicitly stated otherwise in a separate agreement.
If you do not agree to the updated Terms, you must immediately cease using the Services. Your continued use of the Services following the posting of any modifications constitutes your acceptance of those changes and agreement to be bound by the revised Terms.
2. Eligibility and Registration
- 2.1 Minimum Age: Users must be at least 18 years old or the legal age of majority in their jurisdiction to use the Services. By using the Services, you confirm that you meet this age requirement.
- 2.2 Account Security: You agree to provide accurate and complete information when registering for an account and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- 2.3 Unauthorized Access: You acknowledge that you are solely responsible for any unauthorized use of your account, and Jobsolv is not liable for any breach of security due to your negligence in safeguarding your account information.
- 2.4 Users are required to use strong, secure passwords and are solely responsible for any unauthorized access or actions under their account due to negligence in maintaining account security.
- 2.5 You acknowledge that Jobsolv shall not be liable for any losses or damages arising from unauthorized access to your account due to your failure to maintain the confidentiality of your login credentials.
3. AI-Driven Services and User Responsibility
Users are solely responsible for ensuring that their use of Jobsolv’s Services complies with any applicable local, state, or international laws, including but not limited to employment, data protection, and intellectual property laws.
Jobsolv does not make any representations or guarantees regarding the fitness of AI-generated outputs for any particular purpose, nor does it guarantee the accuracy or completeness of such outputs. By using AI-generated content, you agree to assume all risks associated with inaccuracies or omissions.
- 3.1 AI Outputs and Limitations: Jobsolv uses artificial intelligence (AI) to provide features such as Auto Apply, resume tailoring, and job matching. These tools generate outputs based on probabilistic models and may contain inaccuracies, incomplete information, or errors. Jobsolv does not guarantee that the output provided by the AI tools will be accurate, complete, or suitable for any specific purpose.
- 3.1.1 Jobsolv makes no representations or warranties regarding the reliability or accuracy of AI-generated outputs, and disclaims liability for any employment decisions, missed opportunities, or job outcomes resulting from use of the AI services.
- 3.1.2 Users acknowledge that they use AI-generated outputs at their own risk and agree to independently verify any AI-generated content before submission to third parties.
- 3.2 User Verification of Auto Apply and AI-Generated Content
- 3.2.1 AI-Generated Content: Users acknowledge that when using the Auto Apply feature, they may not have the ability to review or verify the content of their job applications or resumes before submission. The AI-driven system automatically submits applications on behalf of the user based on the information provided during the initial setup.
- 3.2.2 Responsibility for Accuracy: Users are solely responsible for ensuring the accuracy and appropriateness of any information provided to the AI system (e.g., resumes, profiles, or personal details). While Jobsolv uses reasonable efforts to match users to appropriate job opportunities, Jobsolv makes no guarantees that the AI-generated applications are complete, error-free, or fit for the user’s intended purposes.
- 3.2.3 No Review Guarantee: By using the Auto Apply feature, users agree and understand that they will not be able to preview or verify the content of the applications or resumes submitted on their behalf. Users assume all risks associated with incomplete, incorrect, or inaccurate submissions that may result from using the Auto Apply feature.
- 3.2.4 AI Error Disclaimer: Given the probabilistic nature of AI, errors may occur in the Auto Apply feature or other AI-generated services, such as inaccurate job matches, incomplete submissions, or incorrect information. Jobsolv disclaims all liability for any negative outcomes, including but not limited to missed job opportunities, rejected applications, or employer responses due to such inaccuracies.
- 3.3 No Employment Guarantee: Jobsolv makes no guarantees that the use of its Services, including AI tools and Auto Apply features, will result in employment, interviews, job offers, or favorable responses from employers.
4. User Conduct and Prohibited Activities
By using Jobsolv’s Services, users agree to the following conduct standards and restrictions. Jobsolv reserves the right to monitor, investigate, and take appropriate action against any user who violates these terms, including immediate suspension or termination of access, without prior notice or liability.
Jobsolv reserves the right to pursue civil claims or criminal prosecution against users found engaging in prohibited activities, including but not limited to hacking, fraudulent behavior, or intellectual property violations.
4.1 Prohibited Conduct: Users shall not, under any circumstances, engage in any of the following activities while using Jobsolv’s Services:
- 4.1.1 Unlawful, Harmful, or Abusive Activities:
Users may not use the Services for any purpose that is illegal, harmful, fraudulent, abusive, or otherwise objectionable. This includes but is not limited to any form of harassment, discrimination, defamation, threats, or any activities that violate applicable laws or regulations. - 4.1.2 Fraudulent or Misleading Information:
Providing false, misleading, inaccurate, or incomplete information in connection with the Services, including but not limited to user profiles, resumes, job applications, or any other data, is strictly prohibited. - 4.1.3 Exploitation of the Platform:
Users may not manipulate, exploit, or defraud Jobsolv’s Services in any way. This includes but is not limited to:some text- Mass-application spamming: Submitting multiple applications to job listings in an automated, unreasonable, or disruptive manner.
- Unauthorized scraping of job listings: Using bots, spiders, or any other automated means to scrape data from Jobsolv’s platform without express written permission.
- Auto-clicking or traffic generation schemes: Using or participating in any systems designed to artificially increase traffic, clicks, or engagement metrics on the platform.
- Engaging in activities designed to disrupt or degrade the performance of the Services, including denial-of-service attacks, hacking attempts, or introducing malware.
- 4.1.4 Reverse Engineering or Hacking:
Users may not attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, algorithms, or proprietary technology from Jobsolv’s AI systems or software. - 4.1.5 Infringement of Intellectual Property Rights:
Users may not use the Services to infringe upon the intellectual property rights of Jobsolv, its affiliates, or any third party, including but not limited to trademarks, copyrights, patents, or trade secrets. - 4.1.6 Circumvention of Security Measures:
Users may not bypass or attempt to bypass any security measures, authentication processes, or access controls implemented by Jobsolv to protect the Services, user data, or proprietary content.
4.2 Prohibition Against Bots and Automation Jobsolv prohibits the use of any form of automation, bots, or scripts to interact with the platform in any way, including but not limited to submitting job applications, scraping job listings, or interacting with AI features. Any such activity will result in immediate termination of the user’s account, and Jobsolv reserves the right to pursue legal action against any individual or entity involved in such activities.
4.3 Right to Terminate Access Jobsolv reserves the right, in its sole and absolute discretion, to terminate or suspend any user’s access to the Services at any time and for any reason, including but not limited to violations of these Terms, suspected fraudulent activity, or engagement in prohibited conduct. This termination may occur without prior notice or liability to the user. Users agree that Jobsolv is not obligated to disclose the reasons for any termination or suspension.
4.4 Cooperation with Authorities
Jobsolv will cooperate fully with law enforcement authorities or court orders in connection with any investigation into illegal activity related to the use of its Services. Jobsolv reserves the right to report any suspicious or illegal behavior to law enforcement at its discretion.
4.5 Content Responsibility: Users are solely responsible for the content they submit, including resumes, cover letters, and any data provided through the Auto Apply feature. Jobsolv is not liable for any claims arising from the use or misuse of such content.
5. Data Privacy and Security
Jobsolv assumes no responsibility for how third-party service providers use the shared data once it has been transferred in accordance with these Terms. Users agree that Jobsolv is not liable for any claims or damages resulting from the actions of third-party partners, employers, or service providers.
By using Jobsolv’s Services, you provide explicit consent to the processing and sharing of your data in accordance with the Privacy Policy. You agree that Jobsolv is not responsible for unauthorized access or breaches resulting from third-party systems beyond its reasonable control.
5.1 Data Collection and Consent
By using the Services, you agree and consent to the collection, storage, processing, and usage of your personal data as outlined in Jobsolv’s Privacy Policy. This data may include but is not limited to personal identification information, job preferences, resume data, and any other information required for job-matching purposes. Jobsolv collects this data to improve the Services, provide tailored job matches, facilitate job applications, and conduct analytics. You agree that by using our Services, you have provided explicit consent to such collection and processing of your data, including any processing through automated or AI-driven systems.
5.2 Third-Party Sharing
Jobsolv may share anonymized, aggregated, or de-identified data with third parties, such as employers, service providers, and business partners, for the purposes of improving job-matching algorithms, enhancing the functionality of the Services, or conducting business operations. Personal data will not be sold or shared with third parties without your explicit consent, except as required by applicable law, a court order, or as necessary to provide the Services (e.g., to submit job applications on your behalf). Jobsolv is not responsible for how third parties use this data once it has been shared in accordance with these terms.
Jobsolv disclaims all responsibility for how third-party service providers or employers use or handle shared data once transferred in accordance with these Terms. You agree that Jobsolv is not liable for any claims, breaches, or damages resulting from third-party handling of data.
5.3 Limitation of Liability for Data Use
You agree that Jobsolv assumes no liability for any damages, claims, or issues arising from the collection, processing, or sharing of data as described in these terms and the Jobsolv Privacy Policy. Jobsolv will make commercially reasonable efforts to protect your data but makes no guarantees against unauthorized access, breaches, or misuse of personal information. You waive your right to bring any claims related to data privacy violations, unauthorized use, or security breaches, except where such claims are required by applicable law.
5.4 Compliance with Data Protection Laws
While Jobsolv endeavors to comply with applicable data protection and privacy laws, including but not limited to the General Data Protection Regulation (GDPR) for European users, the California Consumer Privacy Act (CCPA) for California residents, and other relevant privacy regulations, Jobsolv makes no representations or warranties regarding compliance with any specific laws. You agree to use the Services at your own risk and waive any claims against Jobsolv related to potential non-compliance with any data protection or privacy laws, except where such claims are non-waivable by applicable law.
5.5 Data Accuracy and Responsibility
You are solely responsible for ensuring that the data you provide to Jobsolv is accurate, complete, and up to date. Jobsolv is not liable for any issues, including but not limited to missed job opportunities, incorrect job applications, or legal consequences, arising from incorrect, outdated, or incomplete data provided by you. Any reliance on inaccurate or incomplete data is at your own risk, and Jobsolv disclaims all liability related to such reliance.
5.6 No Guarantee of Data Security
Jobsolv will implement commercially reasonable technical and organizational measures to protect your data from unauthorized access, breaches, and misuse. However, due to the inherent risks of data transmission over the internet and the use of third-party services, Jobsolv cannot guarantee the absolute security of your data. You agree that any data you transmit through our Services is done so at your own risk, and Jobsolv is not liable for any unauthorized access, loss, alteration, or misuse of your data.
5.7 AI-Generated Errors and Data Processing
Given the probabilistic nature of AI and automated systems, Jobsolv cannot guarantee the accuracy, completeness, or appropriateness of any AI-generated outputs, including resume submissions, job applications, or matches. Jobsolv disclaims all liability for any AI-related errors, omissions, or inaccuracies in data processing. Users are responsible for reviewing and verifying any AI-generated content before submission or use. Jobsolv shall not be liable for any damages, employment outcomes, or legal consequences arising from the use of AI-generated content.
5.8 Changes to Data Privacy and Compliance Policies
Jobsolv reserves the right to amend its Privacy Policy or data practices at any time in accordance with changes in the law, industry standards, or business practices. It is your responsibility to review these policies periodically. Continued use of the Services after changes have been made constitutes acceptance of the revised policies. Jobsolv shall not be liable for any claims arising from changes in data privacy regulations or compliance requirements.
5.9 Jurisdictional Limitations
You acknowledge that data protection and privacy laws vary by jurisdiction. Jobsolv operates globally and cannot guarantee compliance with the specific requirements of every country. By using the Services, you acknowledge that your data may be stored or processed in countries outside of your jurisdiction and that Jobsolv is not responsible for any claims arising from cross-border data transfers or the application of foreign data protection laws.
6. Intellectual Property
Users acknowledge that all AI-generated content provided through Jobsolv remains the intellectual property of Jobsolv. Jobsolv reserves the right to use, reproduce, and modify such content without limitation or compensation to the user, unless explicitly agreed otherwise.
Any unauthorized use of Jobsolv’s intellectual property, including AI-generated content, may result in termination of access and legal action, including but not limited to injunctive relief and recovery of damages.
6.1 Ownership of Intellectual Property
All content, software, AI-generated outputs, code, databases, algorithms, designs, logos, slogans, trademarks, service marks, trade dress, patents, copyrights, and any other proprietary materials or intellectual property (collectively, “Jobsolv IP”) provided through the Jobsolv Services, including but not limited to job applications, resumes, digital tools, and AI-generated outputs, are the sole and exclusive property of Jobsolv, its licensors, or other content providers. You acknowledge that Jobsolv retains all rights, title, and interest in and to Jobsolv IP, including all intellectual property rights, whether registered or unregistered, and you agree that you will not use, copy, modify, or exploit any Jobsolv IP except as expressly permitted by these Terms.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Jobsolv's Services and Jobsolv IP solely for your personal, non-commercial use in accordance with these Terms. This license does not grant you any ownership rights to Jobsolv IP, and all goodwill generated from your use of Jobsolv IP shall inure solely to the benefit of Jobsolv.
6.2 Protection of Intellectual Property
You may not, under any circumstances:
- Copy, reproduce, distribute, modify, adapt, publish, reverse engineer, decompile, disassemble, or create derivative works based on any Jobsolv IP without prior written consent from Jobsolv. This includes any and all source code, algorithms, databases, proprietary AI models, logos, trademarks, slogans, and digital tools used or provided by Jobsolv.
- Use Jobsolv IP in any manner that would constitute an infringement of Jobsolv's intellectual property rights or those of its licensors, including the use of Jobsolv's logo, name, or branding for commercial purposes without prior authorization.
- Use or display any Jobsolv trademarks, service marks, or logos without explicit written permission, except as required to use the Services as intended under these Terms.
- Scrape, crawl, download, or otherwise extract data, job listings, or proprietary information from Jobsolv's platform using automated tools, bots, or manual processes without express authorization from Jobsolv.
Violation of these intellectual property rights may result in immediate suspension or termination of your account, and Jobsolv reserves the right to pursue all available legal remedies, including damages and injunctive relief.
6.3 AI-Generated Content and User Submissions
Users retain ownership of any original content, including resumes and personal data, that they submit to Jobsolv (“User Content”). However, by submitting User Content to Jobsolv, you grant Jobsolv a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and transferable license to use, modify, reproduce, distribute, adapt, and create derivative works based on your User Content in connection with providing and improving the Services.
Regarding AI-generated content (such as tailored job applications, resume suggestions, or job matches), you acknowledge that such content may be generated using probabilistic models and may not be unique to you. As a result, similar AI-generated content may be provided to other users of the Services. You agree that Jobsolv is not responsible for any claims arising from similarities between AI-generated content provided to you and similar content provided to other users.
You further acknowledge that Jobsolv owns all rights, title, and interest in and to any AI-generated content provided through the Services, and that you are granted only a limited, non-exclusive, non-transferable license to use such AI-generated content for personal, non-commercial purposes. You agree not to reproduce, modify, sell, or distribute any AI-generated content without prior written consent from Jobsolv.
6.4 No Transfer of Rights
Nothing in these Terms constitutes a transfer of any ownership rights in Jobsolv IP, AI-generated content, or any proprietary technology used to operate the Services. You acknowledge that all rights, title, and interest in and to Jobsolv IP, including any modifications, enhancements, updates, or derivative works, shall remain the exclusive property of Jobsolv or its licensors.
6.5 Intellectual Property Enforcement and Violations
If Jobsolv determines that you have violated these intellectual property provisions, including unauthorized use or distribution of Jobsolv IP, you agree that Jobsolv may pursue any and all legal remedies available, including but not limited to:
- Immediate termination of your account and access to the Services.
- Injunctive relief to prevent further unauthorized use or distribution of Jobsolv IP.
- Recovery of damages, attorney's fees, and other costs associated with enforcing Jobsolv's intellectual property rights.
You agree to cooperate fully with Jobsolv in any investigation of suspected intellectual property violations, including providing all relevant information and materials necessary to enforce these rights.
6.6 Protection of Trade Secrets and Proprietary Information
You acknowledge that Jobsolv's proprietary software, algorithms, code, and AI technologies constitute trade secrets and confidential information that are protected under intellectual property and unfair competition laws. You agree not to disclose, reverse engineer, or attempt to derive the source code or underlying technology of any part of the Services. Any unauthorized disclosure or use of Jobsolv's trade secrets or proprietary information will result in legal action, including claims for misappropriation of trade secrets and breach of confidentiality.
6.7 DMCA Compliance and Copyright Claims
Jobsolv respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA) and other applicable copyright laws. If you believe that any content on the Jobsolv platform infringes your copyright, please notify us as outlined in our Copyright Policy.
7. Indemnification
You agree to indemnify, defend, and hold harmless Jobsolv, its owners, investors, officers, directors, employees, affiliates, licensors, contractors, agents, service providers, successors, and assigns (collectively, “Indemnified Parties”) from and against any and all claims, damages, liabilities, judgments, awards, losses, costs, and expenses (including but not limited to reasonable attorneys’ fees and legal costs) arising out of, resulting from, or related to any of the following, whether directly or indirectly:
- Your breach or violation of these Terms or any applicable laws, rules, or regulations in connection with your use of the Services;
- Any misuse, abuse, or unauthorized use of the Services, including but not limited to violations of third-party intellectual property rights, data privacy laws, or employment laws;
- Any employment-related claims, disputes, or lawsuits arising from or related to the use of Jobsolv's Services, including but not limited to Auto Apply or other AI-generated job applications;
- Any third-party claims or lawsuits initiated as a result of your use of the Services, including violations of third-party terms and conditions, intellectual property, or data privacy laws.
- 7.1 Breach of Terms:
Your breach or violation of these Terms, Privacy Policy, or any other agreements incorporated by reference, or your failure to comply with applicable laws, rules, or regulations in connection with your use of the Services. - 7.2 Misuse of the Services:
Any misuse, abuse, or unauthorized use of the Jobsolv Services, including but not limited to unauthorized automated usage, hacking attempts, fraudulent activities, scraping of data, submission of false or misleading information, or manipulation of Jobsolv’s AI-powered tools or systems. - 7.3 Employment-Related Claims:
Any employment-related claim, dispute, or lawsuit brought by you or a third party arising out of or related to your use of the Auto Apply feature or any other AI-generated or manually submitted job applications through the Jobsolv platform, including but not limited to:some text- Claims related to failed or rejected job applications.
- Claims related to discrimination, wrongful hiring practices, or violations of employment laws in any jurisdiction.
- Claims from employers or third parties regarding incorrect, incomplete, or inappropriate job applications submitted on your behalf by Jobsolv or its automated systems.
- 7.4 Errors, Omissions, or AI-Generated Content:
Any claims arising from errors, omissions, inaccuracies, or any misleading information contained in AI-generated content provided through Jobsolv’s Services, including but not limited to job applications, resumes, cover letters, or job matches. This includes any reliance on such content by you or third parties, and any claims based on AI outputs that lead to employment decisions, reputational harm, or loss of opportunity. - 7.5 Data Protection Violations:
Any claims, damages, or regulatory penalties arising out of your failure to comply with applicable data protection and privacy laws, including but not limited to:some text- The unauthorized collection, storage, or processing of personal data in violation of the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), or any other data privacy regulations applicable to you.
- The misuse of personal data, including the unauthorized sharing or exposure of third-party data through your use of the Services.
- Any claims related to data breaches or unauthorized access to your account, where such breach was caused by your actions or failure to maintain appropriate security measures (e.g., weak passwords, account sharing).
- 7.6 Intellectual Property Infringement:
Any claim or legal action alleging that your use of Jobsolv Services, including AI-generated content, violates or infringes upon the intellectual property rights, privacy rights, publicity rights, or any other proprietary rights of any third party. - 7.7 Unauthorized Commercial Use:
Any claims or disputes arising from your unauthorized commercial use of the Services, including but not limited to reselling access, distributing Jobsolv's proprietary software or content, or exploiting AI-generated outputs for commercial gain. - 7.8 Fraudulent or Malicious Activity:
Any claims or damages arising from fraudulent, malicious, or otherwise unlawful activity conducted through your account, including but not limited to the use of bots, scripts, or other automated tools to submit job applications or manipulate the Jobsolv platform. This includes the use of the Services to perpetrate fraud, impersonate other users, or engage in illegal job placement practices. - 7.9 Violations of Third-Party Terms:
Any claims, damages, or penalties resulting from your violation of third-party terms, policies, or agreements, including but not limited to terms imposed by employers, job boards, or recruitment platforms that partner with Jobsolv. - 7.10 Regulatory or Legal Violations:
Any fines, penalties, or legal actions taken by regulatory authorities or third parties against the Indemnified Parties due to your failure to comply with applicable laws, including employment, privacy, intellectual property, or consumer protection laws in any jurisdiction. - 7.11 You further agree to indemnify and hold Jobsolv harmless from any claims, damages, or disputes that arise from your use of third-party services, platforms, or tools integrated with the Jobsolv platform.
7.11 Defense and Cooperation:
In the event of any claim, demand, or legal action against the Indemnified Parties that triggers your indemnification obligations, Jobsolv reserves the right to assume the exclusive defense and control of such matter at your expense. You agree to provide Jobsolv with full cooperation in the defense of any such claims. You shall not settle any claim or enter into any settlement agreement that imposes any liability or obligation on the Indemnified Parties without Jobsolv’s prior written consent.
8. Limitation of Liability
Jobsolv makes no warranties regarding the accuracy, functionality, or availability of third-party services integrated into the platform, and disclaims all liability for any disruption or errors resulting from the use of such third-party services.
8.1 General: Jobsolv, its owners, investors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services. This includes, but is not limited to, any damages for loss of profits, data, goodwill, or other intangible losses. Jobsolv will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from errors or issues related to AI-generated outputs or third-party platform integration. This includes, but is not limited to, data breaches, unauthorized access, or job application inaccuracies.
8.2 Maximum Liability: Jobsolv’s total liability, whether arising from breach of contract, tort (including negligence), or any other cause of action, will not exceed the total amount paid by you for the Services in the six (6) months preceding the claim, regardless of the cause or form of action.
9. Disclaimer of Warranties
9.1 As-Is Basis: The Services are provided on an “as-is” and “as-available” basis, without warranties of any kind, express or implied. Jobsolv disclaims all warranties, including but not limited to warranties of accuracy, completeness, fitness for a particular purpose, and non-infringement.
9.2 AI Outputs: Jobsolv does not guarantee that AI-generated content will be accurate, reliable, error-free, or secure. Users acknowledge that AI is a developing technology and that outputs may contain errors or inaccuracies.
9.3 Third-party platform: Jobsolv makes no warranties regarding the reliability or accuracy of third-party platforms integrated into its Services. Users should review and accept third-party terms and conditions before interacting with external services.
9.4 Jobsolv expressly disclaims any warranties related to employment opportunities, job offers, interviews, or responses from employers as a result of using its Services. The user acknowledges that Jobsolv provides tools only, and outcomes depend on factors beyond Jobsolv’s control.
10. Termination of Services
This arbitration clause may not apply in jurisdictions where binding arbitration is prohibited. In such cases, disputes shall be resolved in the courts of Travis County, Texas, in accordance with applicable local laws.
10.1 Jobsolv reserves the right to terminate or suspend any account without notice if the user is found to violate the terms of any third-party platform integrated into the Jobsolv system.
10.2 Discontinuation: Jobsolv may modify, suspend, or discontinue the Services at any time without prior notice. Users are responsible for backing up any data before termination.
11. Dispute Resolution and Arbitration
11.1 Arbitration Agreement: All disputes arising out of or relating to these Terms shall be resolved through binding arbitration, except where prohibited by law. The arbitration shall be conducted in Travis County, Texas, and shall be governed by the Federal Arbitration Act.
11.2 Class Action Waiver: You agree that disputes will be resolved on an individual basis and that you waive any right to participate in a class action lawsuit.
11.3 Each party shall bear its own arbitration fees and costs, and any costs or expenses shared by the parties in arbitration shall be equally divided unless otherwise agreed upon in writing.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes not resolved through arbitration shall be litigated in the state or federal courts of Travis County, Texas.
Jobsolv is not obligated to comply with the laws or regulations of any jurisdiction outside of Texas unless explicitly required by applicable law.
13. Modifications to the Terms
Jobsolv reserves the right to modify these Terms at any time. Any changes will be posted on the Jobsolv website and will become effective upon posting. Continued use of the Services after the effective date of the updated Terms constitutes acceptance of the revised Terms.
14. Additional Protection for AI Usage
14.1 AI Error Disclaimer: Users acknowledge that AI technology is prone to errors, inaccuracies, and incomplete outputs. Jobsolv does not guarantee that AI-generated applications, resumes, or job matches are free from errors or suitable for all job applications.
14.2 No Employment Guarantee: Jobsolv does not guarantee employment, interviews, or job offers from the use of AI-driven tools. Users are encouraged to review all AI-generated content before submission.
14.3 Third-Party Integrations: Jobsolv integrates with third-party platforms such as LinkedIn and Indeed. Jobsolv is not responsible for the accuracy, functionality, or terms of use of third-party platforms. Users should review and accept the terms and conditions of any third-party service they engage with through Jobsolv.
14.4 Users acknowledge that AI technology is inherently evolving and may produce biased, unpredictable, or incomplete outputs. Jobsolv disclaims all liability for any adverse outcomes, including those arising from potential biases or limitations in AI-generated content.
15. Final Legal Safeguards
15.1 Severability: If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and removed from these Terms without affecting the validity, legality, or enforceability of the remaining provisions. The invalid provision will be replaced by a valid provision that most closely reflects the original intent of the parties and the economic purpose of the invalid provision.
15.2 No Waiver: Jobsolv's failure to enforce any provision or right under these Terms shall not constitute a waiver of that provision or right, nor will it limit Jobsolv's ability to enforce the same or any other provision in the future. Any waiver of a provision or right will only be effective if it is in writing and signed by an authorized representative of Jobsolv.
15.3 Entire Agreement: These Terms, together with Jobsolv’s Privacy Policy, any additional agreements or policies referenced herein, and any legal notices posted by Jobsolv on the platform, constitute the entire understanding and agreement between you and Jobsolv regarding your use of the Services. These Terms supersede any prior or contemporaneous agreements, communications, or understandings, whether oral or written, related to the Services.
15.4 Governing Law and Jurisdiction: These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes or claims arising out of or in connection with these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.
15.5 Force Majeure: Jobsolv will not be held liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, cyber-attacks, strikes, governmental regulations, pandemics, or interruptions in utility services. In such cases, Jobsolv’s obligations under these Terms will be suspended for the duration of the event.
15.6 Survival of Terms: Any provision of these Terms that by its nature should survive termination or expiration of the agreement (including but not limited to sections related to intellectual property, liability, disclaimers, indemnification, and dispute resolution) will remain in full force and effect following the termination of the Services or your account.
15.7 Assignment: You may not assign, transfer, or delegate any rights or obligations under these Terms without Jobsolv’s prior written consent. Jobsolv reserves the right to assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
15.8 Limitation on Claims: Any claim or cause of action you may have with respect to Jobsolv or the Services must be commenced within one (1) year after the claim or cause of action arises, or it will be permanently barred.
